Class E Shares offer a Share Redemption Program for shareholders redeeming for reasons of death and disability only.1 Ordinary redemptions are no longer available under the Amended Class E SRP.

1 Since the inception of DPF’s Class A, Class W and Class I shares, DPF has satisfied 100% of redemption requests for Class A, Class W and Class I shares. However, since 2009, DPF has received Class E share redemption requests that exceeded its corresponding Redemption Caps. Based on the application of such Redemption Caps, DPF redeemed, on a pro rata basis, a percentage of the shares requested to be redeemed for each quarter. The Board of Directors will evaluate each quarter whether to make liquidity available to Class E stockholders through a share redemption program or through a tender offer process. The percentage redeemed, including redemptions for death and disability, for each quarter ranged from approximately 6.4% to 62.2% of the shares that were requested to be redeemed. DPF shares redeemed within 365 days of purchase are subject to a 2% discount, subject to certain limited exceptions.

The DPF board of directors also currently intends to make liquidity available to Class E stockholders in an amount that, during any consecutive twelve month period, is at least equal to five percent of the number of Class E shares outstanding at the beginning of such twelve-month period, regardless of whether such liquidity will be made available through a share redemption program or a tender offer, and excluding liquidity made available in the event of the death or disability of a stockholder through the Class E share redemption program.
